1. Order Acceptance and Cancellation
1.1 The order is subject to a minimum order of £1,500 and shall not be accepted, and there shall be no contract for sale, until the Seller, ilovegorgeous Limited, has confirmed the order in writing.
1.2 This is a firm order. Cancellation will only be accepted in writing within 14 days of order confirmation. After this date the Buyer will incur a cancellation charge of 35% of the total order value.
2. Delivery and Returns
2.1 Whilst every effort will be made to meet the delivery dates mentioned in correspondence such dates are approximate only and are not of any contractual effect and the Seller shall not incur any liability by reasons of failure to deliver on a particular date(s).
2.2 Delivery shall be to the Buyer’s premises.
2.3 The Buyer shall inspect the goods immediately on their receipt from the Seller. The Seller will only accept the return of defective goods.
2.4 The Seller shall not be liable to the Buyer:
(i) for shortages in quantity delivered unless these are communicated to the Seller within 72 hours of receipt,
(ii) for damage to or loss in transit and
(iii) for defects in the goods not communicated in writing to the Seller within 14 days of receipt or caused by any act, neglect or default of the Buyer or of any third party. If the Buyer fails to give such notice the goods shall be deemed to be in all respects in accordance with the contract.
2.5 Where the Seller is found to be liable under the warranty in 2.4 the sole responsibility of the Seller shall be to make good any shortage and/or as appropriate replace and/or refund for any goods found to be damaged or defective. Goods which are the subject of a claim must be stored free of charge by the Buyer and the Sellers aggregate liability to the Buyer shall in no circumstances exceed the cost of the damaged/defective/undelivered goods determined by net price invoiced. The Seller will have no liability for indirect/consequential loss of profit.
3.1 Unless the Buyer has prior written consent all goods are sold subject to full payment in advance. The Seller is not bound to deliver any goods until payment is received.
3.2 Any extension of credit allowed to the Buyer may at any time be changed/ withdrawn by the Seller. A full credit check will be carried out.
3.3 The new Buyer is required to pay a 35% deposit for an order within 14 days at the time of placing the order. All payments are to be made by bank transfer or cheque. Other payment methods will not be accepted without prior written consent from the Seller.
3.4 Invoices shall be paid by the Seller in full without any deductions. The Seller is not responsible for bank or credit card charges incurred by the Buyer.
3.5 The Seller reserves the right to charge the Buyer interest on overdue accounts at the rate of 5% to run from the due date for payment until full receipt has been received.
3.6 If the buyer fails to make payment on the due date or being an individual shall commit an act of bankruptcy or shall have a receiving order or administration order made against him or shall make any composition or arrangement with or for the benefit of his creditors or being a company shall pass a resolution or the court shall make an order that it shall be wound up (not being voluntary liquidation for the purpose of amalgamation or reconstruction) or if the receiver or manager on behalf of a credit shall be appointed or if the buyer is a foreign company any arrangements or events occur under the lay of the country of domicile which shall have a similar effect to those herein before described then and in any such event the seller may claim all moneys due to it under this contract to supply goods and such moneys will become payable immediately upon demand.
4.1 The Buyer is only consented to sell the goods to individual customers via the sales channel and premises which has been agreed with the Seller at the time of the opening order. If subsequent premises are opened, written approval is required.
4.2 Re-sale of goods by the Buyer via the internet is strictly prohibited unless the Seller has provided written consent. If approval is given to sell online, all photography/copy will be provided by the Seller.
4.3 If approval is given to sell online, the goods can only be advertised on the website in question. The Seller prohibits advertising via any other third party. Examples include affiliate marketing, voucher code websites and price comparison websites.
4.4 The sale of the goods by the Buyer to or via a third party is prohibited. Examples include sale of the products on Amazon and Ebay.
4.5 The Buyer should ensure that, staff involved with the Sellers brand, have access to the branding document supplied by the Seller. The Buyer agrees to work in accordance with the Sellers brand guidelines so to protect the brand at all times.
4.6 The Buyer will at all times retain the original labels provided on the Sellers goods.
4.7 The Buyer should not bid above the Seller via Google Ad words or promote and engage in any discount promotions outside of the stated sale season.
4.8 You MAY bid on ilovegorgeous or Wild & Gorgeous as a brand to promote the fact you stock W&G (example ad title..ilovegorgeous, beautiful clothes for gorgeous girls 0-15 years).
4.9 You MAY bid on ilovegorgeous or Wild & Gorgeous to promote a short term promotion that has been agreed with the brand- maximum promotion of 4 days.
4.10 You MAY NOT bid against ilovegorgeous or Wild & Gorgeous when promoting a discount that is outside the Wild & Gorgeous sale dates.
5.1 The Seller shall provide the Buyer with a recommended retail price (RRP). The Buyer agrees to match this RRP and not to discount it until 120 days after delivery, other than for a limited time promotion on a limited range. The Seller should be made aware of such promotions in writing ahead of the promotion going live.
5.2 The prices payable for goods shall be those stated in the Sellers price List. Stated prices apply only to the stipulated quantities on the Order Confirmation. The Seller may at any time revise the their price list to take into account changes in costs occurring between the date of the Order confirmation and the despatch of the goods including (without limitation) costs of any materials, carriage, labour, the increase of any tax duty or other levy, and any variation in exchange rates.
5.3 Delivery to mainland UK is free on orders over £5,000 ex VAT. Orders to mainland UK under £5,000 ex VAT and all orders to non-mainland UK addresses are charged at cost.
5.4 Goods paid for in US Dollars are shipped into the USA and the Seller is not responsible for any duty payable.
5.5 It shall be the responsibility of the Buyer to make such payments as VAT and any other tax and to comply with all applicable import regulations.
6. Title and Risk
6.1 Full and complete title to the goods shall remain with the Seller until payment in full has been received from the Buyer. Until such payment the Buyer shall have possession of the goods as a fiduciary agent for the Seller. The Buyer may, unless and until the Seller specifies otherwise in writing, sell and deliver the goods to a third party, in the ordinary course of its business, but on the basis that the proceeds of any such sale are held in trust for the Seller.
6.2 The Seller reserves the right to re-possess any goods in respect of which payment is overdue and for this purpose the Buyer hereby grants an irrevocable right and licence to the Seller to enter upon all or any of its premises during normal business hours. This right shall continue to subsist notwithstanding the termination of the contract for any reason and is without prejudice to any accrued rights of the Seller thereunder or otherwise.
6.3 Risk in the goods shall pass from the Seller to the Buyer on delivery.
7. Conditions of Contract
7.1 The terms and conditions of this contract shall apply to all transactions between the Seller and the Buyer unless modified by the Seller with written consent. Failure by the Seller to exercise or enforce any rights here-under shall not be deemed to be a waiver of any such right nor operate so as to bar the exercise or enforcement thereof at any time or times thereafter.
7.2 No other terms and conditions other than those contained herein shall be binding upon the Seller unless accepted by the Seller in writing with reference thereto.
